Terms and Conditions

These terms govern your access to and use of ScalePlant Socials, including the website, the dashboard, and all related services. By creating an account or using the service, you agree to be bound by these terms.

1. About ScalePlant Socials

ScalePlant Socials ("ScalePlant Socials", "we", "us", or "our") provides an online platform that helps small businesses plan, generate, schedule, and publish social-media content across third-party networks such as Instagram, Facebook, and LinkedIn. The service includes AI-assisted content generation tooling, a media library, scheduling and publishing automation, and account analytics.

These Terms and Conditions, together with our Privacy Policy and Cookie Policy, form the entire agreement between you and ScalePlant Socials and supersede any prior arrangement on the same subject matter.

2. Eligibility and account registration

You must be at least 18 years old (or the age of majority in your country) and capable of entering into a binding contract to use the service. By registering, you confirm that the information you provide is accurate, complete, and up to date.

You are responsible for safeguarding your credentials and any activity carried out through your account, including actions taken by team members or third parties to whom you grant access. Notify us promptly if you suspect unauthorised access.

You may not use the service to create accounts in bulk, impersonate another person, or circumvent eligibility, plan, or quota controls.

3. Subscriptions, plans, and credits

Paid plans are billed in advance for the period selected at checkout (typically monthly or annually) and renew automatically at the end of each cycle until cancelled. The plan you select determines monthly token quotas, post limits, integration counts, media-bank storage, and other capabilities listed on the pricing page at the time of purchase.

Tokens included with a paid plan are intended for use within the billing cycle in which they are granted. Unused plan tokens do not roll over to the next cycle unless the pricing page expressly says otherwise for your plan, and they have no monetary value outside the service.

Additional credits purchased on top of a plan ("extra credits" or "top-up credits") are accounted for separately from your plan allowance. Extra credits do not expire when your plan renews and are not consumed by any plan-tier change, downgrade, upgrade, pause, or cancellation; they remain in your wallet and continue to be available until they have been spent on usage. Extra credits are non-transferable between workspaces unless we expressly enable it.

We may change pricing, plan inclusions, or feature availability with reasonable notice. Pricing changes affect future billing cycles only and never retroactively reduce credits already purchased.

4. Refunds and cancellation

Subscriptions are sold on a no-refund basis. Once a billing period has started, the fee for that period is non-refundable, except as required by mandatory consumer-protection law.

We will, however, honour a single refund request per workspace owner if all of the following are true: (a) the request is made within 14 days of the most recent payment; (b) you have not consumed any tokens or credits from the plan you are asking to be refunded; and (c) you have not used any feature that draws on plan resources during that billing period. If any token, credit, or generation has been used, the plan is deemed to have been consumed and is not eligible for refund.

You may cancel your subscription at any time from the billing screen. Cancellation stops future renewals and you keep access to paid features until the end of the current period. Extra credits remain available regardless of cancellation, subject to section 3.

Refunds, when granted, are made to the original payment method and may take several business days to appear depending on your bank or card issuer.

5. AI-generated content and outputs

ScalePlant Socials uses third-party large-language and image-generation models (currently Google Gemini) to draft captions, generate images, and propose post structures based on the brand context, product data, and prompts you provide.

AI outputs are produced from the inputs you supply (business profile, products, prompts, reference images, brand notes) and from the model's general training. Outputs are probabilistic and can contain errors, factual inaccuracies, biased phrasing, or imagery that does not perfectly match your intent. We do not guarantee that any AI output will be accurate, on-brand, free of artefacts, legally compliant for your jurisdiction, or fit for any specific purpose.

You are solely responsible for reviewing every AI-generated caption, image, and schedule before publishing. Once you publish or schedule a post, you take full responsibility for that content as the author and publisher. ScalePlant Socials accepts no liability for outcomes arising from AI outputs, including but not limited to brand reputation, ad-policy violations, copyright disputes, regulatory issues, or commercial decisions made on the basis of AI suggestions.

You confirm that any reference images, products, brand assets, or other inputs you upload to the service are owned by you or licensed for the use you make of them, and that they do not infringe third-party rights or applicable law.

6. Acceptable use

You must not use ScalePlant Socials, or AI outputs produced through it, to create or publish content that is illegal, defamatory, hateful, sexually explicit involving minors, deceptive, infringing, or in breach of the policies of any connected third-party platform.

You must not attempt to reverse-engineer, scrape, abuse, overload, or otherwise circumvent technical or contractual safeguards of the service, and you must not use the platform to develop a competing product.

We may suspend, throttle, or terminate accounts that breach this section, that repeatedly trigger abuse signals from connected platforms, or that put the service or other customers at risk.

7. Third-party platforms and integrations

The service interacts with third-party platforms (Meta/Instagram, Facebook, LinkedIn, Google, Stripe, and others) through their official APIs. Your use of those platforms remains subject to their own terms, policies, and content guidelines, and we are not responsible for changes those providers make to their APIs, rate limits, or content policies.

Connection tokens you provide are stored encrypted and used only to perform the actions you initiate (publishing, fetching post insights, syncing accounts). You may revoke an integration at any time from the integrations screen; revocation may stop scheduled posts that depend on that connection.

8. Intellectual property

We retain all rights in the ScalePlant Socials platform, including software, design, brand, documentation, and aggregated analytics. Subject to your subscription remaining in good standing, we grant you a non-exclusive, non-transferable, revocable licence to access and use the service for your business.

You retain ownership of the input data you upload (business profile, products, brand assets, captions you write) and of any AI outputs you generate through the service for your own use, subject to the terms and licences of the underlying AI providers. You grant us the limited rights needed to host, process, transmit, and display that content as required to operate the service.

9. Service availability and changes

We aim to keep the service highly available, but it is provided on an "as is" and "as available" basis. We do not warrant uninterrupted, error-free, or perfectly secure operation, and we may schedule maintenance, deprecate features, or modify functionality with reasonable notice where practical.

We will not be liable for delays or failures caused by events outside our reasonable control, including outages of third-party platforms, internet infrastructure issues, or actions of regulators.

10. Limitation of liability

To the fullest extent permitted by law, ScalePlant Socials and its officers, employees, and processors will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost revenues, lost goodwill, or content loss, even if foreseeable.

Our total aggregate liability arising out of or in connection with the service, however caused, is limited to the amounts you paid for the service in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death and personal injury caused by negligence.

11. Termination

You may stop using the service and cancel your subscription at any time. We may suspend or terminate accounts that materially breach these terms, that present a security or compliance risk, or that remain in non-payment after a reasonable notice period.

On termination, your right to access the service stops. We will retain account data for the period set out in the Privacy Policy so you can reactivate or export it, after which we will delete or anonymise it in line with our retention schedule.

12. Changes to these terms

We may update these terms from time to time, for example to reflect new features, regulatory changes, or risk-management improvements. Material changes will be communicated to you in-app or by email. Continued use of the service after the effective date of an update constitutes acceptance of the revised terms.

13. Governing law and contact

These terms are governed by the laws of Portugal, without regard to conflict-of-laws rules, and the courts of the district of Lisbon have exclusive jurisdiction, except where a mandatory consumer-protection rule grants you a different forum.
